Despite using this legal model, we operate with organized accounting, fully complying with all applicable fiscal and legal obligations.

As we are not funded by external investors, the legal form adopted was chosen with sustainability, autonomy, and strategic efficiency in mind. Our goal has always been to maintain a lean, specialized, and agile structure, and the ENI model (Empresário em Nome Individual) has proven to be a reliable fit for this vision.

The Sole Proprietorship (ENI) is the simplest legal form for conducting business in Portugal. It allows the owner to operate under their own name, through a direct and flexible structure. The trade name must include the full or abbreviated civil name of the proprietor and may optionally reference the type of business activity. In the case of business inheritance, it may include phrases like “successor of” or “heir of”.

Contrary to common perception, this legal model is not limited to small businesses. When applied correctly, it can be a strategic advantage for specialized, technically sound, and stable operations. The ENI model offers less bureaucracy, faster decision-making, and a lighter operational footprint — without the complexity of formal shareholding structures or boards. For founders who wish to retain full control and independence, it can be the most effective path.

Naturally, other legal structures exist. A Single-Member Limited Liability Company is another valid option, typically preferred for businesses seeking external investment, greater legal separation, or a more formal governance model. In such cases, the company name must include “Unipessoal” (Single-Member) and “Lda.” (Limited), and a share capital is required, albeit often symbolic.

Every business must choose its legal form based on its own goals, risks, and operational model. The decision should align with the business strategy, ownership structure, level of exposure, and long-term vision.
